Bali Villa Leasehold for Foreigners: Do You Need a PT PMA?

If you live overseas, leasing a Bali villa in your own name and appointing a local operator may seem simpler than setting up a PT PMA. It can reduce company administration, but you still need to establish whether you can hold the lease and how the rental business will operate.

Before paying a deposit, ask your adviser to confirm the rights the contract gives you and the rules that apply to your circumstances.

The short answer: Article 45 of Indonesia’s Basic Agrarian Law expressly includes foreigners domiciled in Indonesia among those eligible to hold a lease right for building purposes. It does not expressly include nonresident foreign individuals. For an overseas buyer, a personal villa lease therefore needs a individual legal assessment. Appointing a local operator does not resolve that eligibility question.

The sections below cover eligibility, operating responsibilities, tax and the documents to review before signing.

Can a foreigner lease a Bali villa in their own name?

The answer depends on the buyer’s circumstances and the legal basis of the agreement.

Article 45 of Law No. 5 of 1960 identifies four categories eligible to hold Hak Sewa for building purposes: Indonesian citizens, foreigners domiciled in Indonesia, Indonesian legal entities domiciled in Indonesia, and foreign legal entities with a representative office in Indonesia.

If you live abroad and visit Bali occasionally, ask your adviser how these eligibility rules apply to you. A proposed lease term does not establish your eligibility.

The wording alone does not establish that every lease signed by someone living abroad is invalid. The type of contract and the rights it grants require individual review.

Who holds the lease, and who runs the business?

Review the lease and the operating agreement separately. The lease sets out your rights to use the property. The operating agreement identifies who handles accommodation, guest payments and staff.

QuestionWhat needs checking
Who holds the lease? The holder’s eligibility, the landowner’s authority and the rights granted by the agreement.
Who operates the villa? The operating entity, permitted business activity, location and applicable approvals.

A management agreement should make that division clear. Identify who contracts with guests, receives revenue, employs staff and carries the operating responsibilities.

Indonesia’s current risk based business licensing framework is set out in Government Regulation No. 28 of 2025. The operator’s business classification and permissions need to match the actual activity. An NIB, or business identification number, should be reviewed alongside the other requirements that apply.

If the proposed arrangement involves foreign investment through an Indonesian company, check the PT PMA requirements. Indonesia’s Investment Law sets out the relevant investment framework. Confirm that the company’s proposed activities meet the current requirements before incorporating it.

What the law says about residency

The phrase in Article 45 is orang asing yang berkedudukan di Indonesia. The article does not specify KITAS or KITAP as an express requirement in that wording.

Another regulation often cited in this discussion is Government Regulation No. 18 of 2021. Article 69 addresses foreign ownership of residential houses or accommodation and refers to immigration documents. Its explanation includes a visa, passport or stay permit.

Article 69 addresses residential ownership. Ask your adviser whether and how it applies to the rights offered under your lease.

Ask your legal adviser to explain which rules govern your transaction, how your status meets them and whether a future change in that status affects the arrangement. Obtain that explanation before signing.

What a notarial deed does and does not settle

Have your adviser identify the legal basis of the agreement, including how civil contract rules and agrarian law apply to the rights it grants.

A notarial deed records the agreement and has evidentiary value. Eligibility, the landowner’s authority, permitted use and the rights of other parties still need to be checked.

Have an independent adviser review what happens if the land is sold, an owner dies, a lender enforces security or either party breaches the agreement. Those provisions become especially important when a lease is intended to last for decades.

Why buyers consider a personal lease

An eligible buyer may be able to hold a personal lease without maintaining a company solely to hold that lease.

  • Fewer company administration costs. Holding the lease personally may avoid incorporating and maintaining a company solely for that purpose.
  • Separate operating responsibilities. A separate, properly licensed operator can take responsibility for the accommodation business under an agreed contract.
  • Lease assignment. An eventual exit may involve assigning the lease rather than transferring company shares, if the agreement allows it.

Check the assignment clause, any requirement for landlord consent, taxes and termination terms before comparing the cost of a personal lease with a company structure.

The risks to address before signing

  • Moving abroad or letting a permit expire

If the legal assessment depends on your residence or immigration position, ask what happens when you move abroad or a permit expires. The advice should cover the life of the lease, rather than only the signing date.

  • Problems with the operator

A management company can lose staff, run into financial difficulty or stop meeting its contractual obligations. Agree on reporting, access to booking records, payment schedules and the process for replacing it. Check who controls guest deposits and future bookings when the relationship ends.

  • Managing the villa yourself

If you intend to direct staff, manage bookings or control daily operations, explain that to your adviser. The legal assessment needs to reflect the work you will actually do.

  • Zoning and building approvals

Request a site specific zoning and permitted use assessment, together with a review of the applicable building and operating approvals. A neighbouring villa accepting guests is not proof that the same use is permitted on your parcel.

  • Rights or shares held on your behalf

If an Indonesian person or company is holding rights or shares on someone else’s behalf, disclose the full arrangement for legal review. Ask whether those terms create a nominee arrangement and what that means for enforceability.

For the business activity itself, the OSS listing for KBLI 55193, Vila is a useful reference. Confirm the current eligibility and licensing requirements for the proposed operator and location before relying on that classification.

How to assess the tax position

Start by identifying what each payment represents. Rent paid to a leaseholder, guest accommodation revenue, management fees and shareholder distributions can require different treatment.

Government Regulation No. 34 of 2017 sets a 10% final income tax on the gross value of qualifying land and building rental income. It excludes income from accommodation services from that specific regime. Applying one rental tax percentage to all villa revenue can therefore give the wrong result.

For an overseas recipient, ask a tax adviser to confirm the applicable domestic rules, treaty provisions, withholding responsibilities and required documentation. A treaty does not automatically reduce tax on Indonesian property income. The Directorate General of Taxes discusses this distinction in its guidance on treaty taxing rights.

Have your tax status assessed separately from your immigration position. The return calculation should use the treatment that applies to your actual contracts and payments.

Three structures, compared

StructurePotential advantageQuestion to resolve first
Resident individual holding the lease, with a separate operatorMay avoid maintaining a company solely to hold the lease.Does the holder qualify, and are the operating responsibilities properly allocated?
Nonresident individual holding the leaseMay avoid company setup costs, subject to legal assessment. What is the legal basis for this buyer’s rights, and how would the contract be enforced?
PT PMA holding the leaseThe company holds the lease.Do the company’s purpose, investment requirements and permitted activities fit the project?

Compare the cost of each option with its administrative requirements, operating permissions and provisions for selling or assigning your interest.

What to check before paying a deposit

Ask for a clear review of the proposed transaction covering:

  1. The leaseholder. Who signs, in what capacity, and on what legal basis?
  2. The land. Certificate, registered holder, encumbrances, boundaries, access and required consents.
  3. The intended use. Zoning for the specific parcel, building documentation and operating requirements.
  4. The lease terms. Start date, remaining term, extension pricing, assignment, inheritance and termination.
  5. The operator. Entity records, relevant permissions, responsibilities, reporting and replacement rights.
  6. The cash flow. Who receives each payment, what tax applies and which costs remain yours.
  7. The deposit. Written conditions explaining when it is refundable and what happens if due diligence identifies a problem.

Use these checks when comparing Bali villas for sale. A listing can help you shortlist a property. The documents establish whether the proposed transaction fits your plans.

Frequently asked questions

Can I lease a villa if I do not live in Indonesia?

Article 45 does not expressly list foreign individuals living outside Indonesia among eligible holders. Have Indonesian counsel assess your circumstances and the proposed contract before committing.

Does having a KITAS make the lease safe?

It does not settle the entire transaction. Eligibility, title, the landowner’s authority and the contract terms still need to be reviewed.

Does appointing a management company solve the legal question?

It addresses the operating arrangement. Your ability to hold the lease needs its own assessment, and the operator needs the permissions applicable to its activity.

Does a PT PMA automatically allow me to operate a villa?

No. Incorporation alone does not establish permission for every accommodation activity. Check the actual business classification, ownership conditions and project requirements.

Can I sell or extend my lease later?

Check the agreement for assignment rights, consent requirements and a workable extension mechanism. A promise to discuss an extension later does not establish its price or guarantee agreement.
